1. Introduction

Welcome to Serenity AI, an artificial intelligence-powered wellness and emotional support application (the "Service" or "App") operated by AES VC, a company registered in Mexico (collectively, "we," "us," or "our").

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AES VC governing your access to and use of Serenity AI.

BY ACCESSING, DOWNLOADING, OR USING SERENITY AI, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT USE THE SERVICE.

2. Agreement to Terms

By creating an account or using Serenity AI, you:

Accept these Terms in their entirety
Agree to our Privacy Policy (incorporated by reference)
Agree to our Medical Disclaimer (incorporated by reference)
Represent that you have the legal authority to enter into this agreement
Consent to receive communications from us electronically

If you are using Serenity AI on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Definitions

For the purposes of these Terms:

"Service" or "App" means the Serenity AI mobile application, including all features, content, and functionality
"User Content" means any data, text, information, conversations, or materials you provide or create through the Service
"AI" means the artificial intelligence technology that powers conversational interactions
"Subscription" means paid premium access to the Service
"Free Version" means the limited functionality version of the Service available at no charge
"AES VC Ecosystem" means all applications and services operated by AES VC and published under the A100E brand
"Crisis" means an immediate mental health emergency requiring professional intervention

4. Eligibility & Age Requirements

4.1 Minimum Age

You must be at least 13 years old to use Serenity AI.

If you are between 13 and 17 years old (inclusive), you MUST have verifiable consent from a parent or legal guardian before using the Service.

We do NOT knowingly collect information from children under 13. If we discover that a user is under 13 without proper parental consent, we will immediately terminate the account and delete all associated data.

4.2 Parental Consent for Minors (Ages 13-17)

For users aged 13-17:

A parent or legal guardian must review and consent to these Terms and our Privacy Policy
Parents/guardians are responsible for monitoring the minor's use of the Service
Parents/guardians have the right to review, modify, or delete the minor's data at any time
We implement additional safety protections for minor users (see Parental Consent Guide)

4.3 Legal Capacity

By using the Service, you represent that:

You meet the minimum age requirement
You have the legal capacity to enter into binding contracts
Your use of the Service complies with all applicable laws in your jurisdiction

5. Account Registration

5.1 Account Creation

You may create an account using:

Apple Sign-In
Google OAuth
Email address and password

You agree to provide accurate, current, and complete information during registration.

5.2 Account Security

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access or security breach

We are not liable for any loss or damage arising from your failure to protect your account.

5.3 One Account Per Person

You may only maintain one active account. Creating multiple accounts to circumvent restrictions or abuse the Service is prohibited.

6. Subscription & Payment

6.1 Service Tiers

Serenity AI operates on a freemium model:

Free Version: Limited access to basic features
Premium Subscription: Full access to all features, unlimited usage, and advanced capabilities

6.2 Subscription Terms

Subscriptions are billed on a recurring basis (monthly or annually)
Pricing is subject to change with 30 days' advance notice
Subscriptions auto-renew unless you cancel before the renewal date
You can cancel your subscription at any time through your account settings or the platform you subscribed through (Apple App Store or Google Play Store)

6.3 Payment Processing

Payments are processed through:

Apple App Store (for iOS users)
Google Play Store (for Android users)

By subscribing, you authorize us to charge your payment method for all fees incurred.

6.4 Refund Policy

All subscription fees are final and non-refundable EXCEPT where required by applicable law.

If you cancel your subscription, you will retain access until the end of the current billing period
No refunds are provided for partial subscription periods
Refund requests are subject to the policies of Apple App Store or Google Play Store

6.5 Free Trial (If Applicable)

If we offer a free trial:

You must cancel before the trial ends to avoid being charged
We may require payment information upfront
Only one free trial per user
We reserve the right to determine free trial eligibility

6.6 Price Changes

We may change subscription prices at any time. For existing subscribers:

We will provide at least 30 days' notice of price increases
The new price will apply at your next renewal date
If you do not agree to the price change, you may cancel your subscription

7. NOT MEDICAL SERVICES – CRITICAL DISCLAIMER

7.1 Wellness Tool, Not Medical Service

SERENITY AI IS A WELLNESS AND EMOTIONAL SUPPORT TOOL. IT IS NOT A MEDICAL DEVICE, MEDICAL SERVICE, THERAPY, COUNSELING, OR SUBSTITUTE FOR PROFESSIONAL MENTAL HEALTH CARE.

7.2 No Licensed Professionals

AES VC and Serenity AI:

Are NOT licensed healthcare providers, therapists, psychologists, psychiatrists, counselors, or medical professionals
Do NOT employ or contract with licensed mental health professionals to provide services through the App
Do NOT provide medical advice, diagnoses, or treatment

7.3 Evidence-Based Techniques for Informational Purposes Only

While our AI uses principles from cognitive behavioral therapy (CBT), dialectical behavior therapy (DBT), and mindfulness practices, these are provided:

For informational and educational purposes only
As wellness support and self-help tools
NOT as treatment, therapy, or medical intervention

7.4 Not a Substitute for Professional Care

SERENITY AI DOES NOT REPLACE:

Therapy or counseling with a licensed professional
Psychiatric treatment
Medical diagnosis
Prescription medication
Emergency mental health services
Crisis intervention

IF YOU HAVE OR SUSPECT YOU HAVE A MENTAL HEALTH CONDITION, YOU MUST CONSULT A LICENSED PROFESSIONAL.

7.5 Crisis Situations

SERENITY AI IS NOT DESIGNED FOR CRISIS INTERVENTION OR EMERGENCIES.

IF YOU ARE EXPERIENCING:

Suicidal thoughts or ideation
Plans to harm yourself or others
A mental health crisis or emergency
Severe psychological distress

YOU MUST IMMEDIATELY:

Call emergency services (911 in the US, 988 Suicide & Crisis Lifeline)
Contact a crisis hotline in your country
Go to the nearest emergency room
Contact a licensed mental health professional

While we provide crisis resource information, our AI:

Cannot replace human crisis intervention
May not detect all crisis situations
May provide inaccurate or incomplete responses
Has technological limitations

YOU ARE SOLELY RESPONSIBLE FOR SEEKING APPROPRIATE HELP IN CRISIS SITUATIONS.

7.6 No Doctor-Patient Relationship

Using Serenity AI does NOT create a doctor-patient, therapist-client, or any other professional healthcare relationship between you and AES VC.

7.7 Regulatory Status

Serenity AI is not:

Regulated as a medical device by COFEPRIS (Mexico), FDA (USA), or any other medical regulatory authority
Approved for diagnosis or treatment of any medical or mental health condition
Subject to healthcare provider licensing requirements

8. User Responsibilities

8.1 Appropriate Use

You agree to use Serenity AI:

For personal wellness and emotional support purposes only
In accordance with all applicable laws and regulations
In a manner that does not harm, abuse, or exploit others

8.2 Accuracy of Information

You are responsible for:

Providing accurate information to the AI
Evaluating the accuracy and appropriateness of AI responses
Making your own informed decisions about your mental health and wellbeing

8.3 Understanding AI Limitations

You acknowledge that:

AI technology is not perfect and may produce errors, inaccuracies, or inappropriate responses
AI cannot understand complex emotional contexts with human-level comprehension
AI responses should not be your sole source of information or guidance
You should verify important information with qualified professionals

8.4 Seek Professional Help When Needed

You agree to:

Consult licensed professionals for mental health concerns
Not rely solely on Serenity AI for important life decisions
Recognize when professional intervention is necessary

9. AES VC Ecosystem & Data Sharing

9.1 Multiple Applications

AES VC operates multiple applications published under the A100E brand. When you use the same login credentials across AES VC applications, we may share your profile information and relevant data between our applications to provide a seamless, integrated experience.

9.2 Data Shared Across Applications

Data that may be shared across the AES VC Ecosystem includes:

Account information (name, email, avatar)
User preferences and settings
Usage data and analytics
Content and interactions (where relevant to the integrated experience)

9.3 Control Over Data Sharing

You can manage app connections and data sharing preferences in your account settings. Note that limiting data sharing may affect the functionality and integrated experience across AES VC applications.

10. Intellectual Property

10.1 AES VC Ownership

All intellectual property rights in the Service, including but not limited to:

Software, code, and algorithms
AI models and training data
Design, graphics, and user interface
Wellness exercises, affirmations, and content
Trademarks, logos, and branding

are owned by or licensed to AES VC. These Terms do not grant you any ownership rights in the Service.

10.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use Serenity AI for your personal, non-commercial use, subject to these Terms.

You may NOT:

Copy, modify, or create derivative works of the Service
Reverse engineer, decompile, or disassemble the software
Rent, lease, sell, or sublicense access to the Service
Remove or alter any copyright, trademark, or proprietary notices

11. User Content & License Grant

11.1 Your Content

You retain ownership of all User Content you provide through the Service, including:

Conversations with the AI
Mood check-ins and journal entries
Photos or other materials you upload

11.2 License to AES VC

By providing User Content, you grant AES VC a worldwide, non-exclusive, royalty-free, transferable license to:

Use, store, and process your User Content to provide the Service
Use anonymized and aggregated data derived from User Content to improve our AI models and services
Analyze User Content for safety, security, and compliance purposes

11.3 Anonymization

When we use your data to improve our services:

We anonymize and aggregate the data so it cannot identify you individually
We do not share your personally identifiable conversations with third parties for commercial purposes (see Privacy Policy for details)

11.4 Responsible Content

You represent and warrant that your User Content:

Does not violate any laws or third-party rights
Does not contain illegal, harmful, or abusive material
Does not infringe intellectual property rights

12. Prohibited Uses

You agree NOT to:

12.1 Illegal Activities

Use the Service for any illegal purpose
Violate any local, national, or international laws

12.2 Harmful Behavior

Harass, abuse, threaten, or harm others
Impersonate any person or entity
Spread misinformation or false information

12.3 Technical Abuse

Attempt to hack, reverse engineer, or compromise the Service
Use bots, scrapers, or automated tools to access the Service
Overload or interfere with the operation of the Service
Circumvent any access restrictions or security measures

12.4 Commercial Misuse

Use the Service for commercial purposes without our written consent
Resell or redistribute access to the Service
Use the Service to develop competing products

12.5 Medical Misuse

Rely solely on Serenity AI for medical decisions
Use the Service as a substitute for professional mental health care
Use the Service to diagnose or treat any medical or mental health condition

We reserve the right to investigate violations and terminate accounts that violate these Terms.

13. Limitation of Liability – MAXIMUM PROTECTION

13.1 Use at Your Own Risk

YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF SERENITY AI IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

13.2 No Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AES VC DISCLAIMS ALL WARRANTIES, INCLUDING:

Warranties of merchantability, fitness for a particular purpose, and non-infringement
That the Service will be uninterrupted, secure, or error-free
That AI responses will be accurate, appropriate, or helpful
That defects will be corrected

13.3 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AES VC SHALL NOT BE LIABLE FOR ANY:

Indirect, incidental, special, consequential, or punitive damages
Damages for loss of profits, revenue, data, or use
Personal injury, emotional distress, or psychological harm
Suicide, self-harm, or harm to others
Death or any other harm arising from your use of the Service

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.4 Cap on Liability

IN NO EVENT SHALL AES VC'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

13.5 Essential Purpose

You acknowledge that this limitation of liability is an essential element of the agreement between you and AES VC, and that we would not provide the Service without these limitations.

13.6 AI Limitations

You specifically acknowledge that:

AI technology has inherent limitations and may produce errors
Crisis detection is imperfect and may fail to identify emergencies
Resource information provided may be inaccurate or outdated
You cannot rely on the AI for critical decisions

13.7 Jurisdictions That Do Not Allow Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless AES VC, its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

Your use or misuse of the Service
Your violation of these Terms
Your violation of any rights of another person or entity
Your User Content
Your reliance on AI-generated content
Any harm you suffer as a result of using the Service

This indemnification obligation survives termination of these Terms.

15. Dispute Resolution & Arbitration

15.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at info@serenityapp.ai to attempt to resolve the dispute informally. We will attempt to resolve the dispute informally within 60 days.

15.2 Binding Arbitration

IF INFORMAL RESOLUTION FAILS, YOU AGREE THAT ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED THROUGH BINDING ARBITRATION, NOT IN COURT.

15.3 Arbitration Procedures

Arbitration will be conducted by a neutral arbitrator
Arbitration may be conducted online, by videoconference, or in Mexico City, Mexico
Each party bears its own costs and attorneys' fees unless the arbitrator decides otherwise
The arbitrator's decision is final and binding

15.4 Waiver of Class Actions

YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY, NOT AS A CLASS ACTION OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

15.5 Exceptions to Arbitration

Either party may bring a claim in small claims court if it qualifies. Additionally, either party may seek injunctive or equitable relief in court to prevent infringement of intellectual property rights.

15.6 Opt-Out

If you do not wish to be bound by the arbitration provision, you must notify us in writing within 30 days of first accepting these Terms at info@serenityapp.ai.

16. Governing Law & Jurisdiction

16.1 Governing Law

These Terms and your use of the Service are governed by the laws of Mexico, without regard to conflict of law principles.

16.2 Jurisdiction

Subject to the arbitration provision above, you agree to submit to the exclusive jurisdiction of the courts located in Mexico City, Mexico for any disputes.

16.3 International Use

If you access Serenity AI from outside Mexico, you are responsible for compliance with local laws. We make no representation that the Service is appropriate or available for use in all jurisdictions.

17. Changes to Terms

17.1 Right to Modify

We reserve the right to modify these Terms at any time. When we make changes:

We will update the "Last Updated" date at the top of this document
For material changes, we will provide at least 30 days' advance notice via email or in-app notification
Your continued use of the Service after the effective date constitutes acceptance of the modified Terms

17.2 Review Changes

You are responsible for reviewing these Terms periodically. If you do not agree to the modified Terms, you must stop using the Service and may delete your account.

18. Termination

18.1 Termination by You

You may terminate your account at any time by:

Using the "Delete Account" feature in app settings
Emailing us at info@serenityapp.ai

Upon termination, you will lose access to your account and User Content.

18.2 Termination by AES VC

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including if:

You violate these Terms
Your account is inactive for an extended period
We are required to do so by law
We discontinue the Service

18.3 Effect of Termination

Upon termination:

Your license to use the Service immediately ceases
We may delete your account and User Content in accordance with our Privacy Policy
Provisions that by their nature should survive (including disclaimers, limitations of liability, indemnification, and dispute resolution) remain in effect

18.4 No Refunds Upon Termination

If we terminate your account for violation of these Terms, you are not entitled to any refund of subscription fees.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and Medical Disclaimer, constitute the entire agreement between you and AES VC regarding the Service.

19.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

19.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

19.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

19.5 Force Majeure

We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, terrorism, labor disputes, or internet/telecommunications failures.

19.6 Notices

Notices to you may be sent to the email address associated with your account. Notices to us should be sent to info@serenityapp.ai.

19.7 Language

These Terms may be translated into other languages for your convenience. In the event of any conflict, the English version controls.
